Terms & conditions

Please observe the below terms and conditions if you wish to use my services. 

  1. You the Client have instructed me Sasha Taylor to carry out work for you on the Project the details of which are described in the Client Agreement Letter I have sent you (Agreement), your acceptance of which establishes the contract between us.

  2. Work on the Project is to start on the date specified in the Agreement.

  3. My charges are set out in the Agreement and shall be exclusive of any costs and expenses I may have to incur in connection with the Project, including (but without limitation) the costs of travel to meetings with you or your representatives at your premises or elsewhere.

  4. If the Project necessitates the purchase of external goods and services from third parties, you will pay me a deposit equivalent to the estimated disbursements in advance on demand, as stated in the Agreement, and the balance within 14 days of my invoice. If payment of my invoice for disbursements is not received within 14 days of the invoice date, you will pay interest on the outstanding amount at the rate of 2% per month from the due date until payment in full.

  5. If the Agreement requires you to make a down payment on account of my charges in advance of the commencement of work, I will invoice you for this and payment will be due within 14 days, or such other period as may be stated in the invoice, pending which I will not be required to carry out any work on the Project.

  6. Payment may be made by bank transfer only to my account the details of which will be set out on the invoice. 

  7. If you request major revisions to the Project this will be deemed a change to the terms of the contract between us and may require a new Agreement to be signed.

  8. You may terminate the contract at any time by written notice of termination, but you will remain liable to pay in full for all work already carried out or in progress and I will invoice you accordingly unless otherwise agreed in writing.

  9. I reserve the right to refuse to use, publish or broadcast any information I consider obscene, morally unsuitable, defamatory or illegal, or which would breach copyrights. In the event I receive any such submission from you, I will advise you which information was deemed unsuitable and you will amend it as necessary to make it acceptable, failing which you will be deemed to have terminated the contract between us.

  10. I will not be held liable for loss or damage caused as a result of third-party action or failure.

  11. Once you have signed off on the Project, indicating that the content is correct and accurate and should be posted, published or broadcast, I will not be held liable to any party for any errors on any medium outside my control.

  12. I will retain the ownership and intellectual property of all generated content of the Project unless otherwise provided in the Agreement or separately agreed in writing prior to commencement of work.

  13. I will be entitled to feature the Project in my portfolio or on my website, unless otherwise stated in the Agreement. 

  14. Any confidential or proprietary information which is supplied to me by you or by any other person or entity will not be used or disclosed to any person or entity, except when required by law. If so requested I will sign and adhere to the conditions of any confidentiality agreement you may reasonably require.

  15. If the Agreement provides for me to work to specific deadlines included in the specifications of the Project, you will ensure that you or your representative can be readily contacted by me at all reasonable times as and when necessary.

  16. When I have delivered the finished Project to you in accordance with the Agreement, unless you notify me in writing of any queries or required amendments within seven days of delivery you will be deemed to have accepted it and will be liable to pay my agreed charges as invoiced within thirty days of the invoice date, failing which interest will accrue on the outstanding amount at the rate of 2% above Bank Base Rate from the due date until payment in full.

  17. If you are in any way dissatisfied with the service I have provided, you should write to me setting out the grounds for your complaint. I will send you an acknowledgement within 14 days and a detailed reply will be issued within a further 28 days thereafter. If you are still dissatisfied, all relevant work together with the invoice and original materials should be returned to me immediately for review and we will both endeavour to resolve the matter to your reasonable satisfaction, failing which either of us will be entitled to terminate the contract by notice in writing. If any material I have provided is then found to be used by you in any way without my consent you will be liable to pay my charges in full in accordance with the Agreement.  

  18. I shall be under no liability if I am prevented from carrying out the work required for the Project or any part of it for reasons beyond my control, including (but without limiting the foregoing) Act of God, legislation, war, act of terrorism, fire, flood, drought, failure of power supply, lock-out, strike or other action taken by suppliers or owing to any inability to procure materials required for the performance of the Project. During the continuance of such a contingency you may by written notice to me elect to terminate the contract and pay for work done and materials used but subject thereto shall otherwise accept delivery when available.

  19. The law governing the contract between us shall be the law of England and Wales.

  20. By instructing me to proceed with work in accordance with the Agreement you will be deemed to accept and be bound by these Terms and Conditions in full.
